Legal Counsel, Transaction

Role Purpose
To prepare agreements, contracts, leases, and other transactional legal documents to ensure minimizing risks associated with different transactions, in addition to conducting required legal research and analysis to provide accurate information to Olayan and its stakeholders.
Job Accountabilities & Activities
• Assist in preparing, reviewing, revising and amending all transactions’ related documentation such as purchase agreements, shareholder agreements, salary agreements, distribution agreements, license agreements, etc..
• Conduct legal research and analysis to support in providing accurate and timely legal advice and guidance to Olayan and its stakeholders regarding transactions.
• Conduct legal analysis and assessment of potential risks and opportunities associated with various transactions for Olayan.
• Carry on legal due diligence through collecting and assessing all of the legal documents and information relating to joint ventures to scrutinize any legal risks, such as lawsuits or intellectual property details.
• Support in sourcing external law firms, and coordinate with them to ensure that their activities and actions are in alignment with Olayan’s rules and regulations.
• Prepare, revise and amend legal documents related to external communications and ensure compliance with transaction’s framework.
• Maintain accurate and up-to-date records of all external communications and legal transactions and support Senior Legal Counsels in their duties.
• Coordinate with government bodies such as Ministry of Commerce to discuss legal matters and transactions pending with the Ministry, and represent Olayan before the Ministry’s officials.
Education & Certifications
Bachelor’s degree in Corporate Law or equivalent is required.
Required Years of Experience
Minimum of 3-4 years of experience in the Legal domain, previous experience in Transactions is highly preferred.
