Role Purpose

 

To prepare agreements, contracts, leases, and other transactional legal documents to ensure minimizing risks associated with different transactions, in addition to conducting required legal research and analysis to provide accurate information to Olayan and its stakeholders.

Job Accountabilities & Activities

 

Transactions Support:


•    Support in conducting comprehensive analysis and assessment of legal risks and opportunities associated with various transactions for Olayan.
•    Prepare, review, revise and amend all transactions’ related documentation such as purchase agreements, shareholder agreements, salary agreements, distribution agreements, license agreements, etc.
•    Participate in joint ventures and M&As by preparing non-disclosure agreements, supporting on conducting due-diligence activities and preparing related documentation.
•    Review related contracts, agreements, and leases, and ensure that Olayan’s interests are protected from legal risks and liabilities.
•    Support in sourcing and negotiating with external law firms, and participate in the review of their activities and actions to ensure their alignment with Olayan’s rules and regulations.
•    Communicate with different stakeholders within the different companies under Olayan’s Group, and provide legal advice regarding transaction-related issues in compliance with the transactions framework. 
•    Coordinate with different stakeholders within Olayan to ensure proper cross charging of transactions’ invoices such as external law firms’ invoices for related transactions.
•    Coordinate with government bodies such as Ministry of Commerce to discuss legal matters and transactions pending with the Ministry, and represent Olayan before the Ministry’s officials.

Education & Certifications

 

A Bachelor’s degree in Corporate Law or equivalent is required
Knowledge of Saudi legal rules & regulations is required.

Required Years of Experience

 

A minimum of 2-4 years of experience in the Legal domain, previous experience in Transactions is highly preferred.
